DRK Enterprises LLC d/b/a LED Lighting Supply, formerly My LED Lighting Guide, owns and operates https://www.ledlightingsupply.com and any other DRK-owned or DRK-operated website, page, content, account, or online service that links to these Terms. For purposes of these Terms of Use, DRK Enterprises LLC may be referred to as "DRK," "LED Lighting Supply," "we," "our," or "us."

These Terms of Use, together with any policies referenced in them, govern your access to and use of our website, products, services, content, product information, quote requests, ordering tools, customer accounts, communications, and related online services. These Terms may also be referred to as the "Terms" or "Terms and Conditions."

BY ACCESSING THE SITE, USING OUR SERVICES, SUBMITTING INFORMATION, REQUESTING A QUOTE, CREATING AN ACCOUNT, OR MAKING A PURCHASE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS.

Visitors and users of the Site may include, but are not limited to, Internet users, contractors, electricians, business owners, purchasing agents, facility managers, property managers, government employees, registered account holders, and business partners. In these Terms, such persons or entities may be referred to as "user," "users," "you," or "your."

By creating an account, submitting a form, requesting a quote, placing an order, contacting us, or otherwise using our Service, you agree that we may send transactional communications related to your account, orders, quotes, project requests, product questions, warranty requests, customer service needs, and other business interactions.

You may also receive newsletters, marketing emails, promotional materials, product updates, or other information we may send. You may opt out of promotional communications by following the unsubscribe link or instructions provided in the email we send. Opting out of promotional messages does not affect transactional, order-related, quote-related, support-related, or legally required communications.

Purchases

If you wish to purchase any product or service made available through the Service, you may be asked to supply information relevant to your purchase. We reserve the right to refuse, limit, modify, or cancel any order at any time for reasons including, but not limited to, product availability, pricing errors, product description errors, order errors, payment issues, suspected fraud, export restrictions, shipping limitations, unusually large quantities, discontinued products, supply chain changes, or other reasons permitted by law.

Quotes, Pricing, and Order Documentation

Quotes, sales orders, invoices, product data sheets, submittals, purchase confirmations, and written communications issued by DRK may include additional product-specific or order-specific terms. If there is a conflict between general website content and written order documentation provided by DRK, the written quote, sales order, invoice, product documentation, or other written order-specific documentation will control to the extent of the conflict.

Prices, availability, lead times, specifications, shipping costs, taxes, discounts, rebates, and product details are subject to change without notice unless expressly stated in a written quote or order document issued by DRK. A website listing does not guarantee product availability, final price, shipping cost, certification status, rebate eligibility, or suitability for a specific project.

Installation and Electrical Conditions

All products supplied by DRK must be installed in accordance with all applicable local, state, and national codes, standards, utility requirements, permitting requirements, manufacturer instructions, product documentation, and project-specific requirements. This includes, without limitation, the National Electrical Code (NEC), applicable building codes, local electrical codes, and requirements of the Authority Having Jurisdiction.

Electrical products should be installed by qualified professionals, licensed electricians, or other properly authorized persons where required by law or project conditions. DRK does not provide installation services and is not responsible for installation work, electrical design, code compliance, permitting, inspection approval, hazardous location classification, structural engineering, or final project acceptance.

DRK shall not be responsible for product failure, reduced performance, damage, or unsafe conditions resulting from improper installation, improper wiring, inadequate grounding or bonding, improper neutral connections, incorrect voltage, incompatible controls, unsuitable dimming systems, voltage irregularities, electrical noise, harmonics, transient overvoltage events, lightning, power surges, environmental exposure beyond product ratings, or other power quality or site condition issues.

Facilities using heavy industrial equipment, including but not limited to arc furnaces, induction heating systems, welders, large motors, compressors, variable frequency drives (VFDs), or other equipment that may affect power quality, are responsible for ensuring appropriate electrical protection measures are in place. These measures may include surge protection devices, filtering, isolation, proper grounding, proper bonding, power quality evaluation, or other mitigation equipment suitable for electronic lighting systems.

Failure to maintain electrical conditions within acceptable industry standards may void or limit applicable warranties to the extent permitted by law. DRK reserves the right to request installation documentation, power quality information, photographs, site information, troubleshooting details, and documentation verifying compliance with electrical codes, product instructions, and recommended protective measures as part of any warranty evaluation.

Product Suitability and Professional Review

Product recommendations, product descriptions, lighting guidance, foot-candle information, photometric plans, energy savings estimates, rebate guidance, fixture comparisons, and other technical information are provided for general product selection and project support. They do not replace the judgment of a licensed electrician, engineer, architect, code official, Authority Having Jurisdiction, safety professional, or other qualified professional.

You are responsible for confirming that products are suitable for your specific application, environment, mounting height, electrical system, voltage, controls, structural conditions, code requirements, safety requirements, certification requirements, and project objectives before purchase and installation.

Applications involving hazardous locations, high temperatures, corrosive environments, food processing, healthcare, schools, public spaces, airports, sports facilities, emergency systems, security lighting, industrial facilities, utility infrastructure, poles, structural supports, or other high-risk environments may require qualified professional review before purchase and installation.

Availability, Errors, and Inaccuracies

We regularly update product and service offerings on the Site. We may experience delays in updating website information, advertising, product listings, availability, pricing, images, specifications, certifications, shipping details, or other information.

Information on the Site may contain errors or inaccuracies and may not be complete or current. Products or services may be mispriced, described inaccurately, shown with incorrect images, listed with outdated specifications, or unavailable. We do not guarantee the accuracy, completeness, or currentness of all information found on the Site.

We reserve the right to change, update, or correct information and to correct errors, inaccuracies, or omissions at any time without prior notice, including after an order has been submitted.

Product information and prices are subject to change at any time without written or other notice to Site users. Information, prices, photos, specifications, certifications, ratings, dimensions, lumen output, wattage, color temperature, beam angle, voltage, mounting options, controls, accessories, shipping information, and all other information are intended to be accurate but are not guaranteed.

Lumen specifications may refer to LED engine lumens, fixture lumens, delivered lumens, initial lumens, or other test conditions depending on the product and documentation. Performance may vary by fixture configuration, driver, optic, controls, voltage, ambient temperature, installation conditions, maintenance, and other factors.

Typos, errors, and mistakes related to products, prices, photos, certifications, ratings, specifications, and other information may occur. DRK reserves the right to refuse orders, adjust prices, correct information, modify listings, and clarify information that is incorrect, inaccurate, potentially misleading, incomplete, or ambiguous.

Written quotations, sales orders, invoices, product information sheets, specification sheets, submittals, installation instructions, and similar documents provided by DRK or the applicable manufacturer shall take precedence over general content on the Site.

Safety and Performance Certifications

Where the Site references safety ratings, listings, approvals, classifications, or certifications, including but not limited to UL, ETL, DLC, DLC Premium, CE, FCC, RoHS, NSF, NEMA, IP ratings, IK ratings, wet-location ratings, hazardous location classifications, high-temperature ratings, or similar marks, such references are provided for informational purposes only and may vary by product model, configuration, batch, revision, options, installation method, jurisdiction, or documentation date.

Final responsibility for confirming certifications, listings, ratings, code compliance, and suitability for a specific application remains with the purchaser, installer, engineer of record, project owner, Authority Having Jurisdiction, or other responsible party.

If a certification, listing, rating, approval, country of origin, warranty term, rebate qualification, or performance requirement is material to your purchase decision, you should request written confirmation in your quote, sales order, or product documentation before purchase.

Rebates and Incentives

Any information related to utility rebates, tax incentives, energy incentives, DLC qualification, or other incentive programs is provided for general guidance only. Rebate and incentive programs vary by utility, jurisdiction, product model, installation type, project timing, funding availability, customer eligibility, and program rules.

DRK does not guarantee rebate approval, incentive approval, payment amount, program availability, or processing time. Customers are responsible for confirming program requirements and submitting required documentation unless otherwise agreed in writing.

Photometric Plans, Layouts, and Energy Savings Estimates

Photometric plans, lighting layouts, fixture recommendations, energy savings estimates, return-on-investment estimates, and similar project support materials are based on information provided by the customer, assumptions, product data, software calculations, and project conditions available at the time of preparation.

Actual results may vary due to field conditions, mounting heights, reflectance values, obstructions, fixture orientation, voltage, controls, maintenance, environmental conditions, installation practices, product revisions, and other project-specific factors.

Unless expressly agreed in writing, photometric plans and related support materials are provided for product selection and planning assistance and are not a substitute for stamped engineering documents, code-required design documents, or final approval by the Authority Having Jurisdiction.

Content

Our Service may allow you to post, link, store, upload, submit, share, or otherwise make available information, text, graphics, images, files, videos, reviews, comments, project information, or other material. This material is referred to as "Content."

You are responsible for any Content that you post, submit, upload, transmit, or otherwise make available through the Service, including its legality, reliability, accuracy, and appropriateness.

By submitting Content on or through the Service, you represent and warrant that: (i) the Content is yours, or you have the right to use it and grant us the rights described in these Terms; and (ii) the submission or use of the Content does not violate any privacy rights, publicity rights, copyright rights, trademark rights, contract rights, confidentiality obligations, or any other rights of any person or entity.

However, by submitting Content through the Service, you grant DRK a non-exclusive, worldwide, royalty-free license to use, reproduce, display, perform, distribute, store, modify, and create derivative works from such Content solely as reasonably necessary to operate, improve, support, document, market, and provide the Service, respond to your requests, fulfill orders, provide customer support, and protect our rights.

DRK has the right, but not the obligation, to monitor, edit, reject, or remove Content provided by users.

Content found on or through this Service that is provided by DRK, including text, images, product data, videos, graphics, logos, layout, design elements, downloads, documents, and other materials, is the property of DRK Enterprises LLC or is used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, scrape, or use DRK-provided content, whether in whole or in part, for commercial purposes or personal gain without express advance written permission from us, except as permitted by law.

Accounts

When you create an account with us, you represent that you are at least 18 years old and that the information you provide is accurate, complete, and current. Inaccurate, incomplete, false, misleading, or obsolete information may result in the termination, suspension, or restriction of your account.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity obligations, dispute resolution provisions, limitations of liability, payment obligations, and restrictions on use of Site content.

The Site and Service may be used only for lawful purposes. Your access to and use of the Site and Service are governed by all applicable federal, state, local, and international laws and regulations.

• Interferes with the operation, security, performance, or integrity of the Site or Service;
• Places an unreasonable or disproportionately large load on our infrastructure;

You may not use any robot, spider, scraper, crawler, automated tool, data mining tool, extraction tool, artificial intelligence training process, or manual process to monitor, copy, scrape, harvest, index, reproduce, or extract our web pages, product data, pricing, images, content, or other materials without prior written consent from an authorized DRK representative. Permission is deemed granted for standard search engine technology used to index and direct users to the Site, provided such use complies with our robots.txt file and does not violate these Terms.

The following are also prohibited without prior written consent: (i) reproducing any portion of the Site on another website or platform; (ii) framing, mirroring, or enclosing any portion of the Site; (iii) translating the Site or Site content into another language or computer language for commercial reuse; (iv) using the Site other than for viewing product information, requesting quotes, managing accounts, placing orders, or related legitimate business functions; and (v) creating derivative works from any content or portion of the Site.

If we determine, in our sole discretion, that you have violated these Terms or applicable law, we may terminate, restrict, suspend, or modify all or part of your access and take any action we deem appropriate.

Trademarks

The DRK name, DRK logo, LED Lighting Supply name, My LED Lighting Guide name, MLLG, LLS, LED Lighting Supply logo, and all related product and service names, design marks, slogans, graphics, and brand identifiers are trademarks, service marks, trade names, or registered trademarks of DRK or are used with permission.

You may not use these marks in any manner without prior written consent from DRK. Other product names, brand names, logos, and service marks appearing on the Site are the property of their respective owners.

Consent to Monitoring and Disclosure

DRK is under no obligation to monitor information residing on or transmitted to or from the Site. We do not necessarily pre-screen or moderate content submitted by users. However, by accessing or using the Site, you agree that DRK may monitor the Site and Service to: (i) comply with laws, regulations, court orders, or governmental requests; (ii) operate the Site in a manner we deem proper; (iii) protect users, customers, DRK, the Site, and the Service; and (iv) investigate suspected misuse, fraud, security issues, or violations of these Terms.

DRK has the right, but not the obligation, to reject, remove, edit, restrict, or disable access to information residing on, transmitted to, or made available through the Site and Service that we deem unacceptable, unlawful, inaccurate, harmful, or inconsistent with these Terms.

If you submit ideas, suggestions, concepts, plans, feedback, product improvement ideas, website improvement ideas, or other materials to DRK, you understand that DRK may use such submissions without restriction or compensation unless otherwise required by law or agreed in writing by DRK.

Privacy Policy

The Site is a United States website and is subject to United States law. DRK's collection, use, disclosure, and retention of data collected through the Site is governed by our Privacy Policy. A link to the Privacy Policy can be found at the bottom of the Site's web pages. You acknowledge and agree that our Privacy Policy is incorporated into these Terms.

Electronic communications may not be secure, and you acknowledge that communications to and from the Site may be intercepted or accessed by unintended parties. This does not limit our obligations under the Privacy Policy regarding personal information.

Disclaimer

Your use of the Site and Service is at your sole risk. The Site and Service are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, the Site and Service are provided without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, availability, or course of performance.

DRK, its affiliates, suppliers, service providers, and licensors do not warrant that: (a) the Site or Service will function uninterrupted, secure, or available at any particular time or location; (b) errors or defects will be corrected; (c) the Site or Service is free of viruses or other harmful components; or (d) the results of using the Site, Service, products, content, or materials will meet your requirements.

Warranty and Warranty Support

Where applicable, product warranties are provided in writing with your quotation, order documentation, product documentation, manufacturer documentation, or on the Site as specifically designated for a product. Website descriptions, marketing materials, general product guidance, and oral statements do not create warranties unless expressly stated in writing by DRK.

Warranty terms vary by product, manufacturer, installation conditions, operating environment, electrical conditions, controls, voltage, maintenance practices, and other factors. Warranty coverage may be limited, denied, or voided due to improper installation, misuse, modification, unsuitable environment, improper electrical conditions, unauthorized repairs, lack of required documentation, or failure to follow manufacturer instructions.

DRK may request order information, photographs, installation documentation, product labels, troubleshooting details, site conditions, electrical information, return authorization, and other information as part of a warranty evaluation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRK AND ITS AFFILIATES MAKE ALL CONTENT ON THE SITE AND SERVICES AVAILABLE TO YOU "AS IS" WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Releases

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF YOU AND ONE OR MORE USERS OF THE SITE OR SERVICES ENTER INTO ANY DISPUTE OR MAKE ANY CLAIM AGAINST EACH OTHER, YOU AGREE TO RELEASE, REMISE, HOLD HARMLESS, AND FOREVER DISCHARGE DRK, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, COMPANY MEMBERS, RELATED PERSONS, AND RELATED ENTITIES FROM ANY AND ALL CLAIMS, COMPLAINTS, OBLIGATIONS, DEMANDS, COSTS, LIABILITIES, CAUSES OF ACTION, LEGAL FEES, DISBURSEMENTS, AND PROCEEDINGS OF ANY TYPE OR NATURE, WHETHER KNOWN OR UNKNOWN, ARISING FROM OR RELATING TO SUCH DISPUTE OR USE OF THE SITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERS OF THE SITE OR SERVICES EXPRESSLY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH LIMITS THE CONDITIONS FOR A GENERAL RELEASE TO BE BINDING.

Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD DRK AND ITS AFFILIATES, OFFICERS, DIRECTORS, COMPANY MEMBERS, AGENTS, EMPLOYEES, SUPPLIERS, AND SERVICE PROVIDERS HARMLESS FROM THIRD-PARTY CLAIMS AND RESULTING DAMAGES, LIABILITIES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS, ARISING OUT OF OR RELATING TO: (I) YOUR USE OF THE SITE OR SERVICES; (II) ANY CONTENT POSTED, SUBMITTED, OR TRANSMITTED BY YOU OR USERS OF YOUR ACCOUNT; (III) YOUR PURCHASE, INSTALLATION, OR USE OF PRODUCTS; (IV) YOUR BREACH OF THESE TERMS; OR (V) YOUR VIOLATION OF ANY LAW OR RIGHTS OF ANOTHER PERSON OR ENTITY.

The indemnified parties shall give you reasonably prompt notice of any claim for which indemnity is sought. You agree to reasonably cooperate in the defense or settlement of such claims. The indemnified parties may participate with counsel of their own choosing at their own expense.

Endorsements and Linked Sites

Some sites linked from the Site are not under the control of DRK. DRK makes no representations concerning the content, privacy policies, products, services, security, availability, or practices of third-party sites.

Providing a link is not an endorsement, authorization, sponsorship, or affiliation unless expressly stated. DRK provides links only as a convenience. There are risks in using information, software, or products found on the Internet, and DRK encourages users to understand those risks before retrieving, using, relying upon, or purchasing anything through third-party sites.

Security

You agree to comply with any security processes and procedures specified by DRK with respect to access to or use of the Site and Service. You shall keep secure any username, password, account access, identification, and other confidential information relating to your account and shall notify DRK immediately of any known or suspected unauthorized use of your account or breach of security.

You agree not to access or attempt to access areas of or through the Site that are not intended for general public access or your access as a registered user, unless you have received explicit written authorization from DRK.

Policy for Making Claims of Copyright Infringement

If you believe that any content has been posted on the Site in a manner that constitutes copyright infringement, please notify us by providing the following:

Force Majeure

Neither party will be deemed in breach of these Terms to the extent performance of its obligations is delayed or prevented by events beyond the party's reasonable control. Such events may include, without limitation, fire, flood, earthquake, hurricane, storm, acts of God, labor disputes, strikes, riots, acts of terrorism, war, government actions, supplier delays, carrier delays, power outages, utility failures, Internet failures, cyber incidents, pandemics, epidemics, or other events beyond reasonable control.

Choice of Law, Arbitration, and Enforceability

These Terms and their performance shall be governed by the laws of the State of New Hampshire, without regard to conflict of law rules.

If any provision of these Terms is determined to be unenforceable or invalid, that provision shall be enforced to the fullest extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

Assignment

The right to receive any services provided is personal to you, and you may not transfer, assign, sublicense, or otherwise convey your rights or obligations under these Terms to any other person or entity without our prior written consent.

You agree that these Terms may be assigned by DRK to any third party in DRK's sole discretion, including in connection with a merger, acquisition, sale of assets, reorganization, financing, or other business transaction.

Waiver

DRK's failure to act with respect to a breach by you or others of these Terms does not waive DRK's right to act with respect to subsequent, similar, or other breaches. Any waiver must be in writing to be effective.

Representation

YOU REPRESENT TO DRK THAT YOU ARE AT LEAST 18 YEARS OLD AND ARE AUTHORIZED TO ENTER INTO THESE TERMS. IF YOU ARE USING THE SITE OR SERVICE ON BEHALF OF A COMPANY, ORGANIZATION, GOVERNMENT ENTITY, OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS.

At any time upon request by DRK, you agree to sign a non-electronic version of these Terms or any other agreements or statements reasonably necessary for DRK to provide, verify, document, or account for the Services.

No Agency

Nothing in these Terms creates a partnership, joint venture, association, franchise, employment, agency, fiduciary, or representative relationship between you and DRK. The relationship of DRK to users shall be that of an independent contractor.

Entire Agreement and Changes to These Terms

These Terms, together with any policies incorporated by reference and any written order documentation issued by DRK, contain the entire agreement between you and DRK relating to the subject matter covered by these Terms and supersede any prior understandings or agreements regarding that subject matter.

DRK may change, modify, or amend these Terms at any time by posting updated Terms on the Site. Changes are effective upon posting unless otherwise stated. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
